agreement on 25.07.2019, but the applicant
failed to repay the balance amount. The
applicant repaid ₹2.45 crores, with ₹1.29 crores
allegedly outstanding. The court found the
dispute to be predominantly civil, arising from a
commercial agreement with an arbitration
clause, which the informant did not pursue,
suggesting misuse of criminal process to
pressure the applicant (Indian Oil Corpn.).
WhatsApp conversations indicated only ₹15
lakhs
remained
due
as
of
01.06.2022,
unreported in the FIR. The applicant's prior
criminal history and a separate recovery order in
Writ C No. 23120 of 2021 were deemed
irrelevant to the bail application. Anticipatory
bail was granted with conditions, including
cooperation in investigation and no interference
with witnesses.

29. Regarding the submission of Dr.
Mishra, that the application under Section
482 Cr.P.C. No. 9394 of 2022 challenging
the charge-sheet dated 11.04.2022 filed
pursuant to F.I.R. No. 894 of 2022 has been
dismissed by means of a judgment and
order dated 08.05.2023 passed by this
Court, commission of the alleged offence is
prima facie established, suffice it to say that
in Kamlesh and another versus State of
Rajasthan
and another,
2019
SCC
OnLine SC 1822, the High Court had
rejected the application for anticipatory bail
only on the ground that petition under
Section 482 Cr.P.C., praying for quashing
of FIR, has already been rejected. The
Hon'ble Supreme Court held that the order
of the High Court cannot be sustained.
High Court ought to have considered the
application on merits. The fact that petition
under Section 482 Cr.P.C. was dismissed
for quashing was not conclusive and could
not be the reason for rejecting the
application.

30. Having considered the aforesaid
facts, particularly the facts that the dispute
between the parties is predominantly of
civil nature and a company petition in this
regard has already been filed; that the
learned Counsel for the informant has
himself submitted that the charge-sheet
already having been filed, there is no need
for the applicants' custodial interrogation;
that the applicants were granted interim
anticipatory bail by means of an interim
order dated 26.05.2023 and there is no
allegation of any misuse of the anticipatory
bail granted to them, I am of the considered
view
that
the
interim
order
dated
26.05.2023 granting anticipatory bail to the
applicants deserves to be made absolute
and the application deserves to be allowed.

31. Accordingly, the application is
allowed. The interim anticipatory bail
already granted to the applicants by means
of the order dated 26.05.2023 will continue
to remain in force during pendency of the
trial.

1. प्रार्थी की तरफ से श्री सतीश चन्द्र मिश्रा वररष्ठ
अमिवक्ता, श्री अक्षय कुिार मसिंह और परेश मिश्र अमिवक्तागण,
मवद्वान अमतररक्त शासकीय अमिवक्ता प्रर्थि श्री जयिंत मसिंह तोिर
तर्था मशकायतकताा के अमिवक्ता श्री मिमववजय नार्थ िुबे के तकों को
सुना तर्था पत्रावली का पररशीलन मकया।

2. प्रस्तुत प्रार्थाना-पत्र द्वारा प्रार्थी ने िुकििा अपराि सिंख्या
464 सन 2023 अन्द्तगात िारा 406, 419, 420, 467,
468, 471, 506 और 120-B भा०ि०मव० र्थाना गोितीनगर,
मजला लखनऊ िें अमिि जिानत की िािंग करते हुए प्रस्तुत मकया है।

3. मिनािंक 1.8.2023 को मलखायी गयी प्रर्थि सूचना
ररपोर्ा िें कर्थन है मक प्रार्थी ने मशकायतकताा को िौरिंग खनन के
व्यापार िें भागीिार बनाने के नाि पर उससे मिनािंक 5.3.2018 से
मिनािंक 7.5.2018 के बीच मवमभन्द्न मतमर्थयों िें रुपये 2 करोड़
85 लाख रुपये ले मलये। प्रार्थी ने मशकायतकताा को मजलामिकारी
जालौन द्वारा जारी एल०ओ० आई० मिखाया और उसकी प्रमत प्रार्थी
को मिया मजसिें प्रार्थी के सार्थ मशकायतकताा का नाि भी र्था। जब
खनन की कायावाई शुरू नहीं हुई तो जानकारी करने पर
मशकायतकताा को ज्ञात हुआ मक प्रार्थी द्वारा मिखाया गया
एल०ओ०आई० फ़जी र्था। इसके बाि काफी िबाव बनाने पर प्रार्थी
ने रुपये 35,48,662/- मवमभन्द्न मतमर्थयों िें 3 बार िें वापस
मकया। शेष पैसों के वापस िािंगने पर प्रार्थी ने मिनािंक 25.7.2019
को एक अनुबिंि पत्र तैयार कराकर मशकायतकताा को 12.5
प्रमतशत का महस्सेिार बना मिया। मशकायतकताा ने प्रर्थि सूचना
ररपोर्ा िें कहा है मक उसने पैसे वापसी की प्रत्याशा िें अनुबिंि पत्र
पर हस्ताक्षर मकया र्था मकन्द्तु पैसा उसे वापस नहीं मिला। प्रर्थि
सूचना ररपोर्ा िें कमर्थत अनुबिंि पत्र मिनािंक 25.7.2019 की प्रमत
प्रार्थाना पत्र के सार्थ प्रस्तुत शपर्थ पत्र के सार्थ सिंलवनक 12 के रूप
िें सिंलवन मकया गया है। मजसिें प्रार्थी और मशकायतकताा के
अमतररक्त 3 अन्द्य व्यमक्त भी पक्षकार हैं। उस अनुबिंि पत्र िें यह भी
मलखा है मक मशकायतकताा ने व्यवसाय िें 12.5 प्रमतशत की
िनरामश का मनवेश मकया है तर्था व्यवसाय िें होने वाला लाभ तर्था
मनवेमशत िन अनुबिंि िें कहे गये अनुपात िें अनुबिंि के पक्षों को
प्राप्त होगा। अनुबिंि िें यह भी कहा गया है मक अनुबिंि की शतों का
उल्लिंघन होने पर पक्षकार अनुबिंि के मवमनमिाष्ट अनुपालन के मलए
अर्थवा अनुबिंि के उल्लिंघन के मलए सिुमचत कायावाही सिंमस्र्थत कर
सकते हैं। यमि पक्षकारों के िध्य कोई मववाि होता है तो उसे
िाध्यस्र्थि की कायावाही द्वारा तय कराया जायेगा।

4. प्रार्थाना पत्र के सार्थ प्रस्तुत शपर्थ पत्र िें यह कहा गया है
मक मशकायतकताा को िेय सिस्त िनरामश का भुगतान मकया जा
चुका है मजसका मववरण शपर्थ पत्र की िारा 26 िें मिया गया है।

5. शपर्थ पत्र की िारा 49 िें िुकििा अपराि सिंख्या
464/2023 िें प्रार्थी की सिंमलप्तता िशाायी गयी है, जो इसी
मशकायतकताा द्वारा प्रार्थी के मवरुद्ध मिनािंक 1.8.2023 को प्रस्तुत
मकया गया है।

6. मशकायतकताा के मवद्वान अमिवक्ता श्री मिमववजय नार्थ
िुबे ने प्रमतशपर्थ पत्र प्रस्तुत करते हुए प्रार्थाना पत्र का घोर मवरोि
मकया तर्था और यह कर्थन मकया मक प्रार्थी पूवा िें िामखल िुकििे िें
लगभग 120 मिन जेल िें रह चुका है। श्री िुबे ने यह भी कहा मक
प्रार्थी के मवरुद्ध खनन िेयों के िामयत्व से सिंबिंमित एक वसूली शासन
ने जारी की र्थी मजसके सिंिभा िें प्रार्थी ने ररर् यामचका सिंख्या
23120 (Writ C) of 2021 इस न्द्यायालय िें प्रस्तुत की
र्थी। मजसिें इस न्द्यायालय ने मिनािंक 14.12.2021 को यह

आिेश पाररत मकया मक यमि प्रार्थी रुपये 4,32,18,800/- की
आिी िनरामश एक िहीने िें जिा करें तो बाकी िनरामश की वसूली
स्र्थमगत रहेगी।

मशकायतकताा के मवद्वान अमिवक्ता का कर्थन है मक उपरोक्त आिेश
का पूणा अनुपालन न करते हुए प्रार्थी ने िात्र एक करोड़ रुपये की
िनरामश जिा की मजससे यह प्रतीत होता है मक प्रार्थी सिाशयपूवाक
काया करने वाला व्यमक्त नहीं है और उसने सरकार को भी िोखा
िेकर सरकार की िनरामश हड़प ली है।

7. प्रर्थि सूचना ररपोर्ा िें कहे गये कर्थनों से यह प्रतीत
होता है मक मशकायतकताा ने मिनािंक 5.3.2018 से मिनािंक
26.4.2018 के िध्य वामणमययक गमतमवमियों के मलए प्रार्थी को
बैंमकग िाध्यि से 2 करोड़ 85 लाख रुपये अिा मकये र्थे।
मशकायतकताा का कर्थन है मक प्रार्थी ने उसको मिनािंक 2.5.2018
को एक जाली सहिमत पत्र िशााया। मशकायतकताा ने सिंपूणा िनरामश
उक्त कमर्थत जाली सहिमत पत्र िशााये जाने के पूवा ही अिा कर िी
र्थी तर्था ऐसा नहीं है मक जाली सहिमत पत्र मिखाकर प्रार्थी ने
मशकायतकताा से कोई िनरामश प्राप्त की हो। तर्थाकमर्थत सहिमत पत्र
जाली होने की जानकारी होने के बावजूि मशकायतकताा ने प्रार्थी
तर्था 3 अन्द्य व्यमक्तयों के सार्थ मिनािंक 25.7.2019 को एक
अनुबिंि मकया। मशकायतकताा के कर्थनों से यह प्रतीत होता है मक
उक्त अनुबिंि की शतों का प्रार्थी द्वारा अनुपालन नहीं मकया गया है।
अनुबिंि की प्रमत अमभलेख पर उपलब्ि है मजसिें यह कमर्थत है मक
अनुबिंि की शतों के उल्लिंघन की मस्र्थमत िें प्रार्थीगण िाध्यस्र्थि
द्वारा अपने मववािों को तय कराने के मलए स्वतिंत्र होंगे।
मशकायतकताा ने ऐसी कोई कायावाही प्रारिंभ नहीं की है, जबमक
प्रमतशपर्थ पत्र िें िारा 29 िें यह कहा गया है मक मिनािंक
12.4.2019 से मिनािंक 18.2.2022 तक मवमभन्द्न मतमर्थयों
िें प्रार्थी मशकायतकताा को रुपये 2 करोड़ 45 लाख 16 हजार
173 वापस िे चुका है। मकन्द्तु इस रुपये वापसी का मजक्र मिनािंक
1.8.2023 को मलखायी गयी प्रर्थि सूचना ररपोर्ा िें
मशकायतकताा ने नहीं मकया है। मशकायतकताा के अमिवक्ता श्री
मिमववजय नार्थ िुबे का कर्थन है मक अब भी प्रार्थी पर
मशकायतकताा की रुपये 1 करोड़ 29 लाख 22 हजार 727 की
िेनिारी बनती है।

8. उपरोक्त कर्थनों से ऐसा प्रतीत होता है मक पक्षकारों के
िध्य व्यावसामयक अनुबिंि िें रुपये के लेन-िेन िें एक मववाि
हुआ है मजसके अन्द्तगात स्वीकृत रुप से काफी िनरामश प्रार्थी द्वारा
मशकायतकताा को अिा की गयी है। प्रार्थाना पत्र के सार्थ प्रस्तुत
शपर्थ पत्र के सार्थ मशकायतकताा और प्रार्थी के बीच व्हाट्सप पर
हुए सिंवाि की प्रमत सिंलवन की गयी है मजससे ऐसा प्रतीत होता है
मक मिनािंक 1 जून 2022 को प्रार्थी की िेनिारी िात्र 15 लाख
रुपये बची र्थी।

9. िाननीय उच्चति न्द्यायालय ने Indian Oil
Corpn. v. NEPC India Ltd., (2006) 6
SCC 736 िें यह भी अविाररत मकया है मक:-

13. While on this issue, it is
necessary to take notice of a growing
tendency in business circles to convert
purely civil disputes into criminal cases.
This is obviously on account of a
prevalent impression that civil law
remedies are time consuming and do not
adequately
protect the
interests of
lenders/creditors. Such a tendency is seen
in several family disputes also, leading to
irretrievable
breakdown
of
marriages/families. There is also an
impression that if a person could
somehow be entangled in a criminal
prosecution, there is a likelihood of
imminent settlement. Any effort to settle
civil disputes and claims, which do not
involve
any
criminal
offence,
by
applying
pressure through
criminal
prosecution should be deprecated and
discouraged. In G. Sagar Suri v. State of
U.P. (2000) 2 SCC 636, this Court
observed:

"It is to be seen if a matter,
which is essentially of a civil nature, has
been given a cloak of criminal offence.
Criminal proceedings are not a short cut
of other remedies available in law. Before
issuing process a criminal court has to
exercise a great deal of caution. For the
accused it is a serious matter. This Court
has laid certain principles on the basis of
which the High Court is to exercise its
jurisdiction under Section 482 of the Code.
Jurisdiction under this section has to be
exercised to prevent abuse of the process of

any court or otherwise to secure the ends of
justice."

While
no
one
with
a
legitimate cause or grievance should be
prevented from seeking remedies available in
criminal law, a complainant who initiates or
persists with a prosecution, being fully
aware that the criminal proceedings are
unwarranted and his remedy lies only in
civil
law,
should
himself
be
made
accountable,
at
the
end
of
such
misconceived
criminal
proceedings,
in
accordance with law. One positive step that
can be taken by the courts, to curb
unnecessary prosecutions and harassment of
innocent parties, is to exercise their power
under Section 250 CrPC more frequently,
where they discern malice or frivolousness or
ulterior motives on the part of the
complainant. Be that as it may."

10. प्रस्तुत िािले िें भी ऐसा प्रतीत होता है मक
व्यावसामयक मववाि िें मववामित िनरामश प्राप्त करने के मलए प्रार्थी पर
अनुमचत िबाव डालने के उद्देश्य से मशकायतकताा ने आपरामिक
प्रमक्रया का िुरुपयोग मकया है। यमि इसके मलए प्रार्थी अनुबिंि की शतों
के अनुसार िाध्यस्र्थि कायावाही प्रारिंभ करता तो इसके मलए उसको
मवमि अनुसार िेय शुल्क अिा करना होता जो मक आपरामिक
प्रमक्रया सिंमस्र्थत करके मशकायतकताा ने बचा मलया। यद्यमप प्रार्थी
के एक अन्द्य केस का आपरामिक इमतहास सुसिंगत तथ्य है
मकन्द्तु यह तथ्य उपरोक्त तथ्यों से अमिक प्रभाव रखता है। ररर्
यामचका सिंख्या 23120 सन 2021 आपरामिक प्रकृमत के
िािले से सिंबिंमित नहीं है तर्था उसिें पाररत आिेश अमिि
जिानत के प्रार्थाना पत्र के मनस्तारण हेतु सुसिंगत नहीं है।

11. उपरोक्त तथ्यों को दृमष्टगत रखते हुए प्रार्थी अमिि
जिानत पाने का अमिकारी है।

12. उपरोक्त िुकििा अपराि सिंख्या िें आवेिक की
मगरफ्तारी / न्द्यायालय के सिक्ष उपमस्र्थमत की िशा िें उसे
सिंबिंमित र्थाने के भारसािक अमिकारी/ न्द्यायालय की सिंतुमष्ट के
अनुसार व्यमक्तगत बिंि पत्र एविं िो प्रमतभू प्रस्तुत करने पर परीक्षण के
अिंमति रूप से मनस्तारण तक, मनम्न शतों के अिीन अमिि जिानत पर
ररहा मकया जाएगा:-

क- आवेिक, यमि आवश्यक होगा तो पुमलस
अमिकारी द्वारा जााँच हेतु अपेमक्षत सिय पर उपमस्र्थत होगा।

ख- आवेिक िािले के तथ्यों से पररमचत मकसी व्यमक्त
या पुमलस अमिकाररयों को प्रत्यक्ष या परोक्ष रूप से कोई ििकी, वािा
या प्रलोभन नहीं िेगा मजससे मक वह ऐसे तथ्य को न्द्यायालय के सिक्ष
या मकसी पुमलस अमिकारी के सिक्ष प्रकर् न करने पर िान जाए।

ग- आवेिक मववेचना एविं मवचारण के िौरान सहयोग
करेंगे और जिानत की स्वतिंत्रता का िुरूपयोग नहीं करेगा।
